Terms of Service

Welcome to NECE LABS LTD ("we," "our," or "us"). By accessing our website necelabs.com or using any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our website or services.

1. Use of Our Services

You must be at least 18 years old or have legal capacity to enter into contracts. You agree to use our services only for lawful purposes and in accordance with these Terms.

2. Services

NECE LABS LTD provides custom software development, mobile app development, web design, AI systems, secure intranets, cloud solutions, and related consulting services. All services are provided on a project-by-project basis as outlined in individual proposals or statements of work (SOW).

3. Project Agreements & Payment

• All pricing, milestones, deliverables, and timelines are defined in the signed proposal or SOW.
• Payments are due as specified in the invoice (typically 50% upfront, 50% on completion, unless otherwise agreed).
• Late payments may incur a 1.5% monthly interest charge.
• All fees are exclusive of taxes, which may be added where applicable.

4. Intellectual Property Rights

• Upon full and final payment, we transfer ownership of the delivered source code and final assets to you (except third-party libraries or components with separate licenses).
• We retain the right to showcase the project in our portfolio and marketing materials unless a separate NDA prohibits it.
• You grant us a limited license to use your brand assets during development.

5. Client Responsibilities

You agree to:

• Provide timely feedback and required materials
• Ensure all content you supply is legally owned or licensed
• Notify us of any changes in project scope in writing

6. Revisions & Scope Changes

Each project includes a reasonable number of revisions as stated in the proposal. Additional revisions or scope changes will be quoted separately and may extend timelines.

7. Warranty & Support

• We warrant that delivered work will substantially conform to agreed specifications for 90 days after final delivery.
• Post-launch support and maintenance are available under separate agreements.
• We are not responsible for issues caused by client modifications, third-party hosting, or force majeure events.

8. Termination

Either party may terminate a project with written notice. In case of client termination, you remain liable for payment of all work completed up to the termination date.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project. This obligation survives termination of services.

10. Limitation of Liability

To the maximum extent permitted by law, NECE LABS LTD shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

11. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved in the courts of Rivers State, Nigeria.

12. Changes to Terms

We may update these Terms at any time. Continued use of our services after changes constitutes acceptance of the new Terms.
